Cameron Partners advised AUT in relation to a range of assignments and transactions as it has sought to consolidate its university status including embarking on a programme of private sector borrowing.
Cameron Partners has advised AUT with regard to appropriate security arrangements, ownership and governance issues and reviewing and recommending financing alternatives (banking, capital markets and structured financing options). As part of our role Cameron Partners has undertaken a range of assignments including preparing major capital expenditure business cases, negotiating with the Ministry of Education, undertaking a tender process to establish debt financing arrangements totalling $120 million and advising on the acquisition of Unipark.
Advisor to Zespri International Limited in relation to a capital structure review and valuation of the Zespri business and subsequent successful NZ$17.3million equity placement. Zespri, a public unlisted grower-owned cooperative, is New Zealand’s largest marketer and exporter of kiwifruit with annual sales in excess of NZ$1 billion.
Cameron Partners provided valuation advice for the purposes of determining a fair per share value for a placement to growers and in conjunction with management led the share issue process. Cameron Partners also advised Zespri in relation a subsequent share buy back.
Cameron Partners were required to ascribe a value to Zespri shares while factoring in, for instance, what would happen in a future, deregulated market. It was able to add clear understanding to a range of equity issues affecting all stakeholders.
Advisor to the New Zealand Wool Board in relation to the disestablishment of the New Zealand Wool Board, the establishment of Wool Equities Limited and subsequent IPO of Wool Equities and listing on the NZAX.
As part of this complex process the New Zealand Wool Board was effectively dissolved, with some commercial assets being sold to Wool Equities in exchange for shares. Subsequently, these shares were transferred to qualifying New Zealand wool growers and a further offer was made to wool growers to subscribe for more shares in Wool Equities. The entire process was executed in accordance with legislative arrangements and in keeping with a tight statutory timetable.
Advisor to Protemix Limited in relation to its capital raising through the sale of a significant shareholding to a consortium of New Zealand investors.
Protemix Limited is a bio-pharmaceutical company that makes drugs for the treatment of conditions resulting from diabetes. Protemix is still in the early stages of developing its products but the results to date are very encouraging. Protemix is raising approximately $20 million from a group of New Zealand investors led by Birnie Capital Partners. Cameron Partners has provided assistance to Protemix in negotiating the deal with Birnie Capital Partners This assistance has focused on the valuation of options and the impact of different option arrangements on existing shareholders.
Advisor to Te Kairanga Wines, assisting in structuring and managing its capital raising process.
In 2004 Cameron Partners was engaged by Te Kairanga Wines to raise capital. This project involved an initial scoping of the key drivers for selection of the most appropriate raising capital choice. Following this, we managed the cash issue process to meet legal and Takeover Code requirements including an independent appraisal report.
